Legal forms of service contracts
Flexible Contractual Framework
Clients establish a master contracting arrangement with HNI to order several
services as their needs arise or to contract for a longer period of time using
pre-negotiated rates. Detailed work orders are appended to the master contract,
specifying actual milestones, deliverables and Service Level Agreements (SLAs).
Customized contract
Clients use this method for one-time or highly customized support engagements.
Multiple phases and milestones can be defined with pre-specified payment schedules.
Ownership of systems resulting from custom development work is usually maintained
by the client, whereas technology rights are preserved by HNI. HNI is often contracted
also for operation support and outsourcing services using this method.
Contract of use (license)
This contract is for clients who need only user rights of our services (products).
An example is when someone buys an already working application that we have sold
(and we expect to sell in the future) to several clients. The customer obtains
a full, non-exclusive right for the usage. Such agreements are important also,
whether HNI provides ASP-type services or integrates proprietary applications
already used by others at client’s site.
Pass-thru services (& subcontracts)
Should clients want to position themselves as the primary owners / operators
of particular services, HNI can assist them using this legal form.
